Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) form a binding agreement between you (“User,” “you”) and Zentyl (Pty) Ltd(“AISEO Local,” “we,” “us”). By creating an account or using the platform you confirm that you are at least 18 years old, have the authority to bind yourself or your organisation, and accept these Terms in full.

2. The service

AISEO Local provides a web-based platform where users can interact with AI employees (language-model agents) and build automated workflows. The platform is provided on a subscription basis. Feature availability depends on your plan.

We reserve the right to modify, suspend, or discontinue any part of the platform at any time. We will provide reasonable notice of material changes.

3. Accounts

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorised access at security@aiseolocal.com.
• Accounts may not be shared or transferred without our written consent.
• We may suspend accounts that violate these Terms.

4. Acceptable use

You agree not to use AISEO Local to:

• Generate content that is illegal, defamatory, harassing, or infringes third-party rights.
• Attempt to extract, reverse-engineer, or circumvent the AI systems underlying the platform.
• Probe, scan, or test the security of the platform without our prior written consent.
• Impersonate any person or entity or misrepresent your affiliation.
• Use automated tools to access the platform except through our official API.
• Resell or sublicense access to the platform without an explicit reseller agreement.
• Violate any applicable law or regulation.

We reserve the right to terminate access for any use that we determine, at our sole discretion, to be harmful, abusive, or in breach of these Terms.

5. AI output and accuracy

AISEO Local makes no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated output. You are solely responsible for validating outputs before use in any professional, legal, financial, or medical context.

6. Intellectual property

Our IP

The AISEO Local platform, brand, software, and all associated content are owned by Zentyl (Pty) Ltd and protected by intellectual property law. These Terms do not transfer any ownership rights to you. You receive a limited, non-exclusive licence to use the platform for its intended purpose.

Your content

You retain ownership of any content you input into the platform (business data, prompts, workflow configurations). By submitting content you grant us a limited licence to process it solely to deliver the service. We do not claim ownership of your content and will not use it for any other purpose.

AI outputs

Ownership of AI-generated outputs is a developing area of law. To the extent permitted, we assign any rights we hold in AI-generated outputs back to you. You are responsible for ensuring outputs do not infringe third-party rights before use.

7. Payments and refunds

• Subscriptions are billed monthly or annually in advance.
• All fees are exclusive of VAT/tax where applicable.
• Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial periods except where required by law.
• Overdue payments may result in service suspension after 14 days' notice.

8. Limitation of liability

To the maximum extent permitted by law, AISEO Local's total liability to you for any claim arising out of these Terms or your use of the platform shall not exceed the fees you paid in the 3 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

9. Disclaimer of warranties

The platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

10. Indemnification

You agree to indemnify and hold harmless Zentyl (Pty) Ltd, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. On termination you must cease using the platform. We will provide a data export window of 30 days before purging your account. Sections 5, 6, 8, 9, 10, and 13 survive termination.

12. Changes to terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cape Town, Western Cape, South Africa, unless applicable consumer law in your jurisdiction requires otherwise.
